Provider Terms of Service

1. Introduction

1.1These Provider Terms govern the relationship between Everything Kids Australia Pty Ltd, ACN 167 762 727 and ABN 35 167 762 727, referred to as Everything Kids, EK, we, us or our, and each activity provider that applies for, creates, manages or operates a provider account on the Everything Kids platform.

1.2The platform connects parents and caregivers with children’s activity providers across Australia.

1.3By applying for a provider account, creating a provider account, accepting these terms during onboarding, or continuing to use the provider dashboard after being asked to re accept updated terms, the provider agrees to these Provider Terms.

1.4These Provider Terms must be read together with:

  1. Provider Pricing and Commission Terms
  2. Privacy Policy
  3. Booking, Cancellation and Refund Policy
  4. Foundation Offer Terms, if the provider applies for or is approved for the Foundation Offer
  5. Any written addendum or special terms agreed between EK and the provider

1.5If a Foundation Offer addendum applies and conflicts with these Provider Terms, the Foundation Offer Terms prevail only for the specific Foundation Offer benefit and only during the Foundation Period. These Provider Terms continue to apply in all other respects.

2. Role of Everything Kids

2.1EK provides a marketplace and technology platform. EK is not the provider of the activity listed by the provider.

2.2A booking made through the platform creates a direct service relationship between the provider and the parent for the delivery of the activity.

2.3EK may facilitate discovery, enquiries, bookings, payments, refunds, communications, member benefits, promotions and support, but the provider remains responsible for delivering the activity safely, accurately and in accordance with the listing.

3. Provider eligibility

3.1To apply and remain listed, the provider must:

  1. Be a registered Australian business with a valid ABN
  2. Provide accurate business, contact, location, ownership and activity information
  3. Hold all licences, permits, approvals and registrations required for its activities
  4. Maintain appropriate insurance, including public liability insurance suitable for the activity and venue
  5. Ensure staff, contractors and volunteers hold Working with Children Checks or equivalent clearances where required
  6. Comply with child safety, workplace health and safety, privacy, consumer law and anti discrimination obligations
  7. Maintain a Stripe Connect account if accepting Book Now payments
  8. Meet EK category, quality, safety and brand standards

3.2EK may approve, decline, suspend or remove a provider at its discretion, including where EK considers the provider unsuitable, unsafe, misleading, non responsive, non compliant, or inconsistent with the platform’s purpose.

3.3The provider must keep account information current and notify EK within 14 days of material changes, including ABN, GST status, ownership, insurance, child safety clearances, contact details, locations, activity availability, pricing or business closure.

4. Listings and provider content

4.1The provider is responsible for the accuracy and legality of every listing.

4.2Each listing must include accurate activity name, description, age suitability, location or online delivery details, schedule, duration, pricing, inclusions, exclusions, attendance requirements, cancellation rules and relevant safety information.

4.3Listing content must not be false, misleading, deceptive, offensive, discriminatory, unsafe, unlawful, copied without permission or unsuitable for a family audience.

4.4EK may edit formatting, correct obvious errors, request changes, hide, suspend or remove listings that do not meet platform standards.

4.5The provider grants EK a non exclusive, royalty free, worldwide licence to use provider content, including business names, logos, photos, videos, descriptions and activity information, for operating, displaying, improving and promoting the platform and the provider’s listings.

4.6The licence continues while the provider is listed and for 6 months after account closure so EK can wind down marketing materials, cached pages, emails, social posts and operational records.

5. Pricing and price integrity

5.1The provider must comply with the Provider Pricing and Commission Terms.

5.2The Provider Pricing and Commission Terms are the source of truth for listed prices, price integrity, discount presentation, evidence requests, pricing remedies and any indemnity connected to false, inflated, deceptive or misleading pricing information.

5.3The provider must not inflate, artificially increase, misrepresent or manipulate any listed price for the purpose of creating, increasing or exaggerating a discount, member benefit, promotion, comparison price or offer.

6. Bookings and enquiries

6.1The provider must honour confirmed bookings made through the platform.

6.2The provider must deliver the activity as described, at the booked time and location, unless a permitted cancellation, reschedule or force majeure event applies.

6.3The provider must respond to enquiries and booking related messages within 2 business days unless EK agrees otherwise.

6.4The provider must keep availability current and must not display places, sessions or programs that are not genuinely available.

6.5The provider must not encourage a parent to cancel, avoid, bypass or move a platform booking or enquiry away from EK for the purpose of avoiding EK fees, commission, membership benefits, booking controls or platform records.

7. Cancellations, refunds and reschedules

7.1The provider must comply with the Booking, Cancellation and Refund Policy.

7.2Providers may apply provider specific attendance rules or stricter cancellation rules only where they are clearly disclosed before booking and do not breach the platform minimums, Australian Consumer Law or any applicable law.

7.3If the provider cancels an activity, materially changes an activity, cannot deliver the activity, or fails to provide the activity as listed, EK may require a refund, credit or reschedule in accordance with the Booking, Cancellation and Refund Policy and applicable law.

8. Fees, commissions and payments

8.1Subscription fees, commission rates, discounts, Stripe fees, payout timing, invoicing, failed payments and related payment rules are set out in the Provider Pricing and Commission Terms.

8.2The provider must maintain an active Stripe Connect account if accepting Book Now payments.

8.3EK may deduct fees, commissions, refunds, chargebacks, adjustments and amounts owed to EK from provider payouts where permitted under the Provider Pricing and Commission Terms.

9. Discounts and promotions

9.1Discount and promotion rules are set out in the Provider Pricing and Commission Terms.

9.2EK may offer EK Commission Funded Offers, platform promotions, coupons, launch offers, member benefits or marketing campaigns in accordance with the Provider Pricing and Commission Terms.

9.3Providers may choose to offer provider funded discounts in accordance with the Provider Pricing and Commission Terms.

9.4Providers may opt out of EK Commission Funded Offers in accordance with the Provider Pricing and Commission Terms.

10. Provider standards and safety

10.1The provider must maintain safe, professional, lawful and age appropriate activities.

10.2The provider is responsible for staff conduct, venue safety, supervision, child safety obligations, incident response, first aid arrangements where appropriate, and compliance with all laws applying to the activity.

10.3The provider must notify EK promptly of serious incidents, safety concerns, regulatory action, child safety complaints, insurance lapses, police involvement or anything that may materially affect parent safety or platform trust.

11. Prohibited conduct

The provider must not:

  1. Provide false or misleading information
  2. Manipulate pricing or discounts
  3. Circumvent EK payments, commissions or platform processes
  4. Use parent information obtained through EK for unrelated marketing without lawful consent
  5. Harass, abuse, discriminate against or threaten parents, children, EK staff or other providers
  6. List unsafe, illegal or non existent activities
  7. Upload content it does not have permission to use
  8. Scrape, copy, reverse engineer or interfere with the platform
  9. Create multiple accounts without EK approval
  10. Do anything that may damage children, parents, providers, EK or platform trust

12. Provider reliability and ranking

12.1EK may maintain provider quality, safety, responsiveness and reliability measures.

12.2These measures may influence search placement, badges, recommendations, eligibility for campaigns, participation in promotions and continued listing.

12.3EK may consider cancellations, reschedules, parent feedback, response times, booking fulfilment, pricing accuracy, safety information, complaints and compliance with these terms.

13. Privacy and data

13.1The provider must comply with the Privacy Policy and all privacy laws applying to its handling of parent, child, staff and booking information.

13.2The provider must only use parent information received through the platform for the relevant enquiry, booking, activity delivery, safety, customer support or lawful operational purpose.

13.3The provider must not sell, disclose, upload, reuse or market to parent information outside the permitted purpose unless it has lawful consent and complies with applicable privacy and spam laws.

14. Suspension and termination

14.1The provider may close its account by giving 30 days written notice, subject to honouring existing bookings and paying outstanding amounts.

14.2EK may suspend or terminate a provider account by giving 30 days notice.

14.3EK may suspend or terminate immediately if the provider breaches these terms, creates safety risk, acts unlawfully, loses required insurance or clearances, provides misleading information, manipulates pricing, avoids commission, receives serious complaints, becomes insolvent, or materially harms platform trust.

14.4On termination, EK may remove listings, cancel future bookings where necessary, process refunds, pay remaining valid payouts less amounts owed, and retain records required for legal, tax, fraud prevention, safety and operational purposes.

15. Liability

15.1To the maximum extent permitted by law, EK provides the platform as is and does not guarantee uninterrupted access, error free operation, provider revenue, booking volume, search ranking, parent demand or commercial results.

15.2To the maximum extent permitted by law, EK is not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of data, loss of goodwill or loss arising from parents, providers, Stripe, third party systems or events outside EK control.

15.3To the maximum extent permitted by law, EK’s total liability to the provider is limited to fees paid by the provider to EK in the 12 months before the event giving rise to the claim.

15.4Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law or other applicable law.

16. Changes to terms

16.1EK may update these Provider Terms by giving reasonable notice by email, dashboard notice, website notice or another appropriate method.

16.2If EK materially changes subscription fees, commission rates, payout timing, price integrity obligations, provider funded discount rules or EK Commission Funded Offer rules, EK will require provider re acceptance on next dashboard login before continued use of the provider dashboard.

16.3Continued use of the platform after the effective date of updated terms constitutes acceptance, unless re acceptance is required.

17. Disputes and events outside control

17.1If a dispute arises, the parties should first try to resolve it in good faith through EK support or senior contact escalation before commencing formal proceedings, unless urgent court relief is required.

17.2EK is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, venue closure, public health directions, platform outages, payment processor issues, power failure, cyber incidents, industrial action, natural disasters or government action.

18. General

18.1These terms are governed by the laws of Victoria, Australia.

18.2The parties are independent contractors. Nothing creates a partnership, employment, agency, franchise or joint venture relationship.

18.3EK may assign or transfer its rights and obligations to a related body corporate, successor or purchaser of the platform or business.

18.4The provider must not assign its account or obligations without EK’s written consent.

18.5If any part of these terms is invalid, the rest continues.

18.6Notices may be sent by email, dashboard notice or other contact details provided by the provider.

Provider Pricing and Commission Terms

1. Purpose

1.1These terms set out provider subscription fees, commission rates, discounts, promotions, Stripe fees, payout timing, invoicing, failed payments, GST treatment and pricing integrity rules for the Everything Kids platform.

1.2These terms form part of the Provider Terms of Service.

1.3If there is a conflict between these terms and the Provider Terms of Service about pricing, fees, commissions, payouts, discounts or provider payments, these terms prevail for that topic.

2. Key definitions

2.1Booking means a confirmed booking and payment for an activity through the Book Now feature.

2.2Listed Price means the genuine standard public price for the activity before any EK Commission Funded Offer or provider funded discount is applied.

2.3Booking Amount means the amount the parent actually pays for the booking after applicable discounts are applied.

2.4Gross Booking Value means the Listed Price multiplied by the quantity or places booked, before discounts, Stripe fees and EK commission.

2.5Provider Payout means the amount paid to the provider after applicable discounts, Stripe fees, EK commission, refunds, chargebacks and adjustments.

2.6EK Commission Funded Offer means a discount, coupon, launch offer, member offer, promotional credit or other incentive that EK funds by accepting a lower commission on the booking or from EK’s own marketing budget.

2.7Provider Funded Discount means a discount the provider chooses to offer from the provider’s own Listed Price.

2.8Foundation Offer means the pre launch provider offer set out in the Foundation Offer Terms.

3. Subscription fees

3.1Providers may use one or more platform models, including Book Now and Enquire Now.

3.2Unless a special offer applies, Enquire Now subscription fees are:

Provider typeMonthly feeAnnual fee
Standard Operator$50 per month$500 per year
Small Operator$25 per month$250 per year

3.3The annual fee gives the equivalent of 2 months free compared with monthly billing.

3.4Small Operator means a provider that is not registered for GST and has annual turnover below the GST registration threshold, currently $75,000, as verified by ABN or other reasonable evidence.

3.5Subscription fees are billed in advance and are GST inclusive where EK is registered for GST.

3.6Foundation Offer subscription benefits are set out in the Foundation Offer Terms.

4. Standard Book Now commission

4.1Unless a Foundation Offer, EK Commission Funded Offer, Provider Funded Discount or other written agreement applies, EK charges a standard commission of 15 percent on the Gross Booking Value of each Book Now booking.

4.2Commission is calculated on Gross Booking Value unless EK and the provider agree otherwise in writing.

4.3Stripe processing fees are separate from EK commission and are deducted as set out in section 9.

5. Provider Funded Discounts

5.1Provider Funded Discounts are optional and are intended for a later post launch release, unless EK and the provider separately agree otherwise in writing.

5.2During the pre launch period and Foundation Offer period, the standard provider offer is the Foundation Offer. Provider Funded Discounts are not part of the standard pre launch Foundation Offer. See the Foundation Offer Terms for the Foundation discount rules.

5.3When Provider Funded Discounts are released, EK may allow providers to offer discounts to parents or members through the platform. EK will publish the available discount options, commission rates, settings and eligibility rules before those discounts become active.

5.4EK may later introduce reduced commission tiers for Provider Funded Discounts. No provider is entitled to a reduced commission unless the relevant discount option is live in the platform and accepted by EK.

5.5Provider Funded Discounts may be configured as member only offers, public offers, launch offers, activity specific offers, date limited offers, inventory limited offers or other discount types supported by EK.

5.6EK may decline, remove or require changes to a Provider Funded Discount if EK reasonably considers it misleading, commercially unsuitable, technically unsupported, inconsistent with platform standards or unlawful.

6. EK Commission Funded Offers

6.1EK may offer, advertise or apply EK Commission Funded Offers from time to time.

6.2EK Commission Funded Offers may include site-wide sales, category-wide sales, seasonal campaigns, holiday campaigns, launch offers, member offers, coupons, promotional credits, minimum discount campaigns, or other promotions selected by EK.

6.3EK may use these offers to create a minimum advertised discount across the platform or a campaign group. For example, EK may choose to run a site-wide or category-wide campaign where eligible listings display at least 10 percent off.

6.4If a provider is not already offering a Provider Funded Discount, EK may apply an EK Commission Funded Offer to create the advertised campaign discount, unless the provider has opted out.

6.5If a provider is already offering a Provider Funded Discount, EK may choose to promote that existing discount as part of the campaign or may choose to add an EK funded top-up discount, provided the provider’s standard payout is not reduced unless the provider separately agrees.

6.6EK pays for EK Commission Funded Offers either by accepting a lower commission on the discounted booking or from EK’s own marketing budget. They do not reduce the provider’s standard payout unless the provider separately agrees.

6.7EK may communicate EK Commission Funded Offers to parents, members, prospective customers and the market, including through listings, emails, social media, advertising, search results, landing pages, coupons and member communications.

6.8Providers may opt out of EK Commission Funded Offers through the provider dashboard or by written notice to EK.

6.9Unless a different period is shown in the provider dashboard, an opt out takes effect within 5 business days after EK receives the opt out request.

6.10Opt out does not affect bookings already made, offers already redeemed, credits already issued, or promotional commitments already accepted before the opt out takes effect.

6.11EK will give providers at least 14 days notice before launching a new EK Commission Funded Offer that materially affects how their listings are displayed, badged, promoted or included in campaigns, unless the provider has pre authorised participation. This notice requirement applies even if provider payout is unchanged.

6.12A provider that opts out may lose discount badges, promotional placement, campaign inclusion or member offer visibility connected to that offer.

7. Foundation pricing and discounts

7.1Foundation Offer benefits are set out in the Foundation Offer Terms.

7.2During the Foundation Period, EK may fund a customer facing discount by allocating part of EK’s commission to the discount or otherwise subsidising the offer.

7.3If a Foundation Provider opts out of the Foundation discount, the provider keeps the 6 month free Enquire Now benefit unless a special agreement states otherwise, but may lose discount badges, campaign placement and discount related Foundation marketing benefits.

8. Price integrity

8.1The provider must ensure each Listed Price is the genuine standard public price the provider charges, or would charge, for the same or materially similar activity outside the platform.

8.2The provider must not inflate, artificially increase, misrepresent or manipulate any Listed Price for the purpose of creating, increasing or exaggerating a discount, member benefit, promotion, comparison price or offer.

8.3The provider must promptly update EK if its standard public pricing changes.

8.4EK may request reasonable evidence of the provider’s standard pricing, including website pricing, booking system screenshots, brochures, invoices, price lists or other reasonable proof. The provider must respond within 7 business days.

8.5EK will not request pricing evidence more than twice in a 12 month period unless EK has reasonable grounds to suspect inaccurate, inflated or misleading pricing.

8.6For new activities with no prior selling history, the Listed Price must reflect a price the provider in good faith believes to be the market rate for the activity.

8.7If EK reasonably believes the provider has breached this section, EK may remove or correct pricing, remove a discount, suspend promotional eligibility, require remediation, suspend a listing, or terminate the provider for repeated or material breach.

8.8Any strike through price, comparison price, member saving, percentage discount or similar display generated by EK is based on the Listed Price supplied or confirmed by the provider. The provider warrants that the Listed Price is the genuine standard public price for the relevant activity and is not false, inflated, deceptive or misleading.

8.9The provider indemnifies EK against regulatory fines, penalties, claims, losses and reasonable costs arising from the provider supplying false, inflated, deceptive or misleading pricing information.

9. Stripe processing fees

9.1All Book Now payments are processed through Stripe or another payment processor approved by EK.

9.2Stripe processing fees are separate from EK commission and provider subscription fees.

9.3Stripe’s prevailing processing fees apply as set by Stripe. Stripe may charge different fees for domestic cards, international cards, premium cards, disputes, chargebacks, currency conversion or other payment events.

9.4Stripe fees are deducted from the payment flow before provider payout.

9.5EK is not required to absorb Stripe fees unless EK expressly agrees in writing.

10. Payout timing

10.1Single session bookings are paid out 7 days after the booked activity date, subject to Stripe processing times, refunds, chargebacks, holds and account verification.

10.2Term bookings, courses and multi session programs are paid out 7 days after the first session of the term, unless EK applies a different payout schedule for risk, refund or operational reasons.

10.3If a booking is rescheduled, payout timing moves to the rescheduled date or first session date.

10.4If a booking is cancelled or refunded, payout is reduced or reversed in accordance with the Booking, Cancellation and Refund Policy.

10.5EK may delay, hold, offset or adjust payouts where necessary to manage suspected fraud, chargebacks, refund exposure, provider breach, safety concerns, legal requirements, Stripe holds or payment disputes.

11. Payment calculation examples

11.1Standard booking with no discount, $100 Listed Price:

ItemAmount
Listed Price$100
Parent pays$100
EK commission at 15 percent$15
Stripe feesDeducted separately
Provider receives before Stripe fee effect$85

11.2EK Commission Funded Offer example, $100 Listed Price with EK funded 10 percent parent discount:

11.3Examples are illustrative only and exclude Stripe fee variation, GST treatment, refunds, chargebacks and adjustments.

11.2 EK Commission Funded Offer example

$100 Listed Price with EK funded 10 percent parent discount:

ItemAmount
Listed Price$100
Parent pays after EK funded discount$90
Provider standard payout before Stripe fee effect$85
EK absorbs discount from its commission or marketing budgetYes

12. Failed payments

12.1If a provider subscription payment fails, EK may notify the provider, retry payment, suspend listings, pause enquiries, pause Book Now, remove badges or terminate access until payment is resolved.

12.2If a parent booking payment fails, the booking is not confirmed and the provider is not required to hold the place.

13. Invoicing, GST and tax

13.1Amounts are in Australian dollars.

13.2EK fees are GST inclusive where EK is registered for GST, unless EK states otherwise. If EK becomes GST registered or its GST treatment changes, EK may re express fees as GST inclusive or plus GST by giving 30 days notice and requiring provider re acceptance where the change is material.

13.3Providers are responsible for their own GST, income tax, invoices, receipts, records and tax reporting.

13.4Providers must tell EK whether they are GST registered and must update EK within 14 days if that status changes.

13.5EK may issue tax invoices, recipient created tax invoices, statements or payout summaries where supported by the platform and legally appropriate.

14. Disputes, refunds and chargebacks

14.1Providers must notify EK of payment disputes within 30 days of the relevant transaction.

14.2EK will investigate and may adjust a future payout where EK considers an adjustment appropriate.

14.3Chargebacks are handled through Stripe or the relevant payment processor. Providers must cooperate and provide evidence when requested.

14.4If a chargeback, refund, reversal or adjustment is applied, EK may deduct the amount from future payouts or invoice the provider.

15. Changes to pricing terms

15.1EK may change fees, commission rates, provider funded discount rules, payout timing or payment rules by giving at least 30 days notice unless urgent legal, payment processor, fraud, safety or compliance reasons require shorter notice.

15.2Material changes to subscription fees, commission rates, payout timing, price integrity obligations, provider funded discount rules or EK Commission Funded Offer rules will require provider re acceptance on next dashboard login.

15.3Fee changes do not apply retroactively to bookings already confirmed unless required by law, payment processor rules, refund rules or fraud prevention.

Booking, Cancellation and Refund Policy

1. Purpose

1.1This policy explains booking, cancellation, refund and reschedule rules for bookings made through Everything Kids.

1.2This policy applies to parents, caregivers and providers using the platform.

1.3Nothing in this policy limits rights that cannot be excluded under Australian Consumer Law.

2. Booking confirmation

2.1A booking is confirmed only when payment is successfully processed and EK issues a booking confirmation.

2.2If payment fails, the booking is not confirmed and the provider is not required to hold the place.

2.3Parents must check booking details, including date, time, location, age suitability, inclusions, exclusions and attendance requirements before booking.

3. Parent cancellation

3.1Unless the listing states a more generous provider policy, the platform minimum cancellation rules are:

Time before activityMinimum outcome
7 or more daysFull refund or reschedule, parent choice
2 to 6 daysReschedule to another available date, no refund required
Less than 48 hoursNo refund and no reschedule required
No showNo refund and no reschedule required

3.2Reschedules are subject to provider availability, operating schedule and available capacity. Unless EK or the provider agrees otherwise, a reschedule must be used within 60 days of the original booking date, or by the end of the current term, whichever is later, where that is practical for the provider’s operating schedule.

4. Provider cancellation or material change

4.1If the provider cancels an activity, the parent is entitled to a full refund or an agreed reschedule.

4.2If the provider materially changes the activity, including date, time, location, core inclusions or age suitability, the parent may accept the change or request a refund where required by this policy or Australian Consumer Law.

4.3EK may adjust provider payouts to reflect refunds, cancellations and reschedules.

5. Term bookings and multi session programs

5.1For term bookings, the parent pays the full term amount unless the listing states otherwise.

5.2If a parent cancels before the term starts, the cancellation table in section 3 applies to the first session date.

5.3Once a term has started, refunds are not required for missed sessions unless Australian Consumer Law requires a remedy, the provider agrees, or the listing states otherwise.

5.4If the provider cancels one or more sessions, the provider must offer a reasonable make up session, credit or refund for the affected session, subject to Australian Consumer Law.

6. Illness, emergencies and force majeure

6.1Providers may set reasonable attendance rules for illness, safety and child welfare.

6.2EK and providers may reschedule, cancel or modify activities affected by severe weather, venue closure, public health directions, emergencies, power outages, safety incidents or events outside reasonable control.

6.3Refunds or credits for force majeure events will be assessed fairly, taking into account Australian Consumer Law, provider costs, parent impact and whether a reasonable reschedule is available.

7. Membership discounts and refunds

7.1If a booking made at a member price is refunded, the refund is based on the amount actually paid, not the standard listed price.

7.2Cancelling a parent membership does not cancel existing bookings.

7.3Membership fees are handled under the Parent Membership Terms.

8. Refund processing

8.1Refunds are processed to the original payment method where possible.

8.2Bank and card processing times vary and are controlled by Stripe, banks or payment providers.

8.3Stripe fees, card fees or other processing costs may not always be refundable unless required by law or EK decides otherwise.

9. Disputes

9.1Parents and providers should contact EK promptly if there is a booking dispute.

9.2EK may request evidence, including attendance records, communications, medical or safety information where appropriate, photos, provider policies or payment records.

9.3EK may make a platform decision about refunds, credits, payout adjustments or account action, without limiting legal rights.
